GENERAL TERMS OF SALE


1- SCOPE
These general terms of sale apply to all orders submitted on the website www.lesegmentab.com by professionals or consumers, and govern these orders exclusively.

2-CONFIRMATION
The customer declares that he or she was aware of and agreed to these general terms before submitting the order. Confirmation of the order therefore implies acceptance of these terms and conditions.

3- ORDER
The order is processed via the website www.lesegmentab.com.
The order can only be recorded on the site if the customer is clearly identified by entry of the required information (identity, contact details, email address, etc.).
Orders made on the website are binding on the customer from the time of electronic transmission. The customer confirms the order by clicking the “Confirm my order” option on the corresponding web page.
All confirmation of the order by the customer implies acceptance of the prices and descriptions of the products on sale.

4 - PRODUCTS

The products presented on the site are accompanied by a product data sheet detailing the corresponding technical data in each case.

5 - PRODUCT AVAILABILITY
Information on product availability is provided during the order submission procedure. As a general rule offers of products are valid as long as they are displayed on the site.
When, in exceptional cases, a product is not/no longer available after confirmation of the order by the customer, SEGMENT AB informs the customer of this in its order confirmation.
In this situation, the customer has the choice of either:
-    cancelling the order;
-    or accepting the new latest delivery date indicated by SEGMENT AB, taking production times into account.

6- DELIVERY
Delivery is to the address indicated in the customer order.
Product shipment takes place on confirmation of the order by SEGMENT AB.
Different possibilities may be envisaged:
The latest date of delivery corresponds to the time shown on each “product” sheet plus the preparation and dispatch times and the carrier’s delivery times (post, Chronopost, carriers, etc.).
Whatever the circumstances, the latest date of delivery is specified by SEGMENT AB in its order confirmation.
For all deliveries made outside mainland France, the customer will be given an indicative delivery time on the occasion of order confirmation. The customer will be informed of the transport method used by SEGMENT AB in its order confirmation.
For professional customers, the delivery time is always shown as an indication only.
In the case where, exceptionally, a product is not/no longer available after confirmation of the order or even order confirmation by SEGMENT AB, the customer will be informed of the maximum delivery time. The customer will then have the option of cancelling the order if this modified delivery time is not acceptable.
In the event of delivery by a carrier requiring an appointment to be made with the customer, the carrier will contact the customer as soon as possible to agree on a convenient delivery time. SEGMENT AB cannot be held responsible for late delivery due solely to the customer’s unavailability after the carrier has proposed several delivery times.
In the event of a shipment delay, an email will be sent to the customer to inform him/her of a possible impact on the latest date of delivery indicated.
In the event of late delivery, a new date will be proposed to the customer by email.
Whatever the circumstances, in accordance with the applicable legislation, when the customer is a consumer, and if the purchase price is over €500, the customer can cancel the contract by recorded delivery letter with confirmation of receipt in the event of non-delivery more than seven days after the stated latest date of delivery, unless this is due to a case of force majeure.
The contract is considered broken on receipt by SEGMENT AB of the letter in which the consumer informs it of his/her decision, if the delivery has not taken place between dispatch and receipt of this letter. The consumer-customer must exercise this right within sixty working days of the date indicated for delivery of the goods.

7- PRODUCT RECEIPT
On receiving the products, the customer must check the condition and contents of the parcel before signing the delivery note. In the event of damage on delivery or missing items (loss, damage, etc.) the customer must state his or her reservations on the delivery note and confirm them within 3 days of the delivery by means of a complaint (recorded delivery letter with confirmation of receipt) addressed to the carrier.
The customer must send a copy of this letter to SEGMENT AB.
In the same way, SEGMENT AB must be notified immediately of any apparent non-conformity of the product delivered in relation to the order.

8 – PRICES
The prices shown on the website www.lesegmentab.com are in Euros, including all taxes.
The product prices indicated do not include the dispatch and shipment costs, which are the  customer’s sole responsibility.
The method of transport is chosen in the second stage of the order process, after identification of the buyer and before the choice of payment method and final confirmation of the order.
Whatever the circumstances, the total cost of the order is stated in the Segment AB order confirmation.
SEGMENT AB reserves the right to modify its prices at any time, but the products ordered are invoiced at the price applicable on entry of the order.

9 - INVOICING
An invoice is automatically sent to the customer once the order is finalised . This invoice will be sent to the email address given by the customer in the order, unless otherwise indicated by the customer.

10 - PAYMENT METHODS
SEGMENT AB uses the payment services offered by PayPal (www.paypal.com) for its Internet sales. Secure payment is made via:
- the customer’s PayPal account
- or by bank card: Carte Bleue, Visa, MasterCard
- or by charge card:  Aurore, Cofinoga, 4étoiles.

11 - PAYMENT SECURITY
The payment operation is transmitted via the PayPal site and benefits from increased security due to a high level of data encryption.
- on your computer, the SSL (Secure Sockets Layer) protocol, version 3.0 or later, is used
- in transit, the data is protected by the SSL protocol with an encryption key length of 128 bits (the highest level currently available on the market).
- the PayPal servers are protected by firewalls and are not connected directly to the Internet.

12 - GUARANTEE
In accordance with the applicable legal provisions, the customer has the benefit of legal guarantees of conformity and on account of the latent defects, in the sense of articles L.211-1 and following of the Consumer Code and 1641 and following of the Civil Code.
In accordance with the provisions of article L.211-15 of the Consumer Code, the following articles are reproduced below:

Art L.211-4 of the Consumer Code:
“The seller is required to deliver a product which conforms to the contract and is held liable for any lack of conformity which exists upon delivery.
He is also held liable for any lack of conformity caused by the packaging or the assembly instructions, or the installation if he assumed responsibility therefore or had it carried out under his responsibility”


Art L.211-5 of the Consumer Code:
“To conform to the contract, the product must:
1. Be suitable for the purpose usually associated with such a product and, if applicable:
- correspond to the description given by the seller and have the features that the seller presented to the buyer in the form of a sample or model;
- have the features that a buyer might reasonably expect it to have considering the public statements made by the seller, the producer or his representative, including advertising and labelling;
2. Or have the features defined by mutual agreement between the parties or be suitable for any special requirement of the buyer which was made known to the seller and which the latter agreed to.”


Art L.211-12 of the Consumer Code:
Action resulting from lack of conformity lapses two years after delivery of the product.”
It is hereby stated that the legal guarantee of conformity resulting from articles L.211-1 and following of the Consumer Code is not applicable to customers acting within the context of their professional activity.
In respect of professional customers, SEGMENT AB has an obligation to deliver goods in conformity, under articles 1604 and following of the Civil Code.

13 - RESPONSIBILITY

The products on sale comply with the applicable French legislation and the standards applicable in France.
SEGMENT AB shall not be held liable in the in case of non-compliance with the legislation of the country to which the product is delivered (for example in the case of a banned product). It is the customer’s responsibility to check with the local authorities on the possibilities of importing or using the products or services that the customer is planning to order.
The photos shown on the website are an indication only. It is the customer’s responsibility to refer to the description of each product for details of its precise characteristics.
It is hereby stated that SEGMENT AB’s link to the customer is simply that of supplier of a catalogue product chosen by this customer - professional or consumer.
SEGMENT AB is therefore not in any way involved in:
-    the customer’s choice of products, given that the customer has access to all the technical data for the product and its conditions of use in the form of a product data sheet, in accordance with article 4 of these terms of sale;
-    the design of the assembly into which the ordered product is integrated;
SEGMENT AB cannot therefore be held responsible for any loss, direct or indirect, related to:
-    any negligence by the customer;
-    incorrect or abnormal use of the purchased product;
-    a handling error;
-    a fault or error in maintenance and use that does not comply with the technical specifications;
-    an inappropriate choice of product;
-    a design fault in the assembly into which the ordered product is integrated.

14 - TRANSFER OF OWNERSHIP AND TRANSFER OF RISKS
The transfer of ownership and the transfer of risks take effect once the order is finalised, i.e. on order confirmation by SEGMENT AB.
For international sales, these transfers take effect with reference to the incoterm applied.

15 – RIGHT OF WITHDRAWAL

In accordance with the legislation in force, if the customer is a consumer, he or she has a period of 7 days from the order delivery date to exercise his/her right of withdrawal.
If this right of withdrawal is exercised within the abovementioned time, the price of the products and the shipment costs will be reimbursed, while the return carriage costs are the customer’s responsibility.
The products returned must be in their original condition and complete (packaging, accessories, documentation, etc.) enabling their “re-marketing” in new condition.

16 - CUSTOMER SERVICES
For all information or questions, concerning in particular:
-    follow-up of the order;
-    exercise of the right of withdrawal;
-    application of the guarantee;
-    exchange or return of goods;
SEGMENT AB customer services are available to the customer on +33 (0)2 43 21 80 80 from 9 am to 12 noon and 2 pm to 5 pm (French time).

Customer services will reply as soon as possible.

17 - NOMINATIVE INFORMATION
Information and data concerning the customer are required for management of your order and our commercial relations. They may be passed on to companies who contribute to these relations, such as the companies responsible for processing the order (management, execution, processing). This information and data are also kept for security purposes, in order to comply with legal and statutory obligations and to enable SEGMENT AB to improve and customise the services offered and the information distributed.
In accordance with the law on Data Protection and Freedom of Information dated 6th January 1978, customers have the right to access, rectify or delete data concerning them at any time. To do so simply send an email or letter to SEGMENT AB, stating your identity (last name, first name), email, address and customer reference.
Your request must be signed and accompanied by a photocopy of proof of identity including your signature, and state the address to which you want the reply to be sent.
Depending on the choices made by the customer at the time of the order, the customer is likely to receive information and/or offers from SEGMENT AB or other companies belonging to the same group. The customer can make a request at any time to stop receiving (or not to receive) such offers and/or information.

18 – ENTIRE AGREEMENT
The customer’s order is governed by these general terms, completed if applicable by any specific terms that may have been agreed on submission of the order.
The contract between SEGMENT AB and its customer therefore consists of the following documents, in descending order of priority:
-    any specific terms agreed at the time of the order;
-    these general terms of sale.
 
19 – APPLICABLE LAW
Orders are governed by French law.

20- DISPUTES
In the event of disputes with a professional customer, the Courts of the place of the registered office of SEGMENT AB shall have sole jurisdiction.
For international sales, the French courts shall have sole jurisdiction.
